Terms of Service
The short version
- Kosmly is a subscription service for businesses, not for consumers.
- You own your content, your data and everything our agents create for you.
- You decide how much each agent can do on its own, and you can undo any change.
- Cancel any time. Your plan runs until the end of the period you paid for.
1. Who we are and who these terms are for
These terms are an agreement between Kosmly Ltd, a company registered in England and Wales (company no. [number]), registered office [address], VAT [GB number] ("Kosmly", "we") and the business that creates a Kosmly account or installs a Kosmly app ("you"). Kosmly is offered only to businesses and professionals. By installing an app or creating an account you confirm you act for a business.
2. The service
Kosmly provides AI agents (such as Vega, Sirius, Lyra and Orion) that work inside online stores and websites on Shopify, WooCommerce, WordPress and PrestaShop. Each agent's features and limits depend on your plan, as shown on our pricing page. When you install Kosmly from an app marketplace, that marketplace's own terms also apply.
3. Your account
Keep your login details safe and tell us at once if you think someone else is using your account. You are responsible for what happens in your account, including actions you let agents take on Autopilot.
4. Plans, trial and payment
- Paid plans start with a 14-day free trial. We will remind you before the trial ends, and you can cancel during the trial without paying.
- Plans renew automatically every month or year until you cancel. Prices are in euros and exclude VAT.
- If you buy through Shopify or another marketplace, that marketplace bills you. Otherwise our reseller Paddle.com Market Ltd sells the plan to you as merchant of record, charges VAT where due and issues the invoices; Paddle's buyer terms also apply to the payment.
- Founding Member pricing (30% off, first 500 stores) stays in place as long as your subscription stays active without a break.
- Extra usage beyond your plan is paid with Stardust credits. Credits you buy never expire; credits included in your plan renew each period and expire at its end; welcome credits expire after 60 days. Extra usage only uses credits you already have: nothing is charged to your card unless you turn on automatic top-up with a monthly cap.
- Luna and Halley are priced by the number of conversations per month, as shown on the pricing page.
- Prices on yearly plans are locked for 12 months. For other plans we give you at least 30 days' notice before a price change applies to you.
5. Money-back and ROI guarantees
30-day money-back. If you are not happy, ask within 30 days of your first payment and we refund it, no questions asked.
60-day ROI guarantee. If, within the first 60 days of your first paid plan, your Kosmly ROI report shows no hours saved and no sales generated, write to us and we will refund the fees you paid in that period. The agents must have been active and connected to your store during that time.
6. Cancelling
You can cancel any time from your Kosmly dashboard or the marketplace where you installed the app. Your plan stays active until the end of the period you paid for. Fees already paid are not refunded, except under section 5. After cancellation we keep your data for 30 days so you can export it, then we delete it.
7. Your content and your data
You keep all rights to the content and data you put into Kosmly and to the content our agents create for you ("Output"). You give us only the permission we need to run the service for you. We never use your content or data to train AI models. Personal data is handled under our Data Processing Agreement, which forms part of these terms.
8. Using AI output responsibly
AI can make mistakes. You are responsible for reviewing Output before it is published, unless you choose Autopilot, in which case you are responsible for the limits you set. You agree not to use Kosmly to:
- create fake or unverified reviews, or hide negative ones;
- show misleading prices or discounts (discounts must show the lowest price of the previous 30 days);
- set different prices for individual people based on their personal profile;
- deceive people about talking to an AI, or remove AI labels that Kosmly adds;
- create illegal, infringing or harmful content, or for any use the EU AI Act prohibits or classes as high-risk.
We may suspend an agent or an account that breaks these rules. We will tell you why, unless the law prevents it.
9. Availability and changes to the service
We aim for [99.5]% monthly availability and announce planned maintenance in advance. Universe plans have a written SLA. We may improve or change features. If we remove a feature you pay for, we will tell you 30 days in advance and you may cancel with a pro-rata refund.
10. Liability
Our total liability in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect losses such as lost profits. These limits do not apply to wilful misconduct, gross negligence or any liability that cannot be limited by law.
11. Changes to these terms
We will email you at least 30 days before material changes apply. If you do not agree, you can cancel before they take effect.
12. Law and courts
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction. Contact: legal@kosmly.com.
